Definitions
These definitions form part of the full Terms and Conditions of services
Within this Agreement, the following words shall have the given meaning.
- ‘Bad neighbourhood’ – a number of websites linked together in a deceptive, unscrupulous, malicious, manner or for such purposes, which could include (but not limited to) spamming, cloaking or hidden links, plagiarism and banned or illegal websites.
- ‘Bandwidth’ – The amount of data that can be transmitted by the Client.
- ‘Billing period’ – the length of time between bills
- ‘Business day’ – any day of the week when the Bank of England is open for business.
- ‘Circumvent’ – to bypass or get around.
- ‘Client Portal’ – provides the account and billing facilities.
- ‘Confidential information’ – all non-public information relating to a parties business and their activities, past present and future, including but not limited to this Agreement, documents, data, images, scripts, ideas, designs, prototype and experimental work whether technical or not and any information, intellectual property or trade secrets used by either party under their contractual obligations with each other or with their prospective employees, agents or consultants.
- ‘Consumer’ - an individual not acting in the capacity of, or on behalf of a business.
- ‘Data Protection Legislation’ - all applicable data protection laws including General Data Protection Regulation ((EU) 2016/679) (“GDPR”) and any applicable national data protection legislation, regulations and secondary legislation from time to time in force in the jurisdiction of the Controller and/or the Processor relating to the processing of Personal Data, and where relevant the Privacy and Electronic Communications Directive (2002/58/EC) and the Privacy and Electronic Communications (EC Directive) Regulations 2003 (SI 2003/2426).
- ‘Downtime’ – a period of time when access to the services is not available.
- ‘Execution’ – the commencement of this agreement.
- ‘Hosting’ – storage and bandwidth of Hosted materials to allow it to be transmitted and accessed over the internet.
- ‘Hosting Capacity’ – the amount of disk space available for the Clients use.
- ‘Hosted materials’ – all websites, web applications, software, information, data, databases and other works and materials stored, transmitted, published or processed using the Services all website, web applications, software, data, databases, source code, apps or other material.
- ‘Indemnity’ – Security or protection against loss or damages.
- ‘Intellectual property’ - Trademarks, copyright, designs, trade secrets or any other privilege, right or protection provided by or in Law
- ‘Invitation to treat’ – a contract law term which distinguishes between an advertisement and an offer to contract.
- ‘Liabilities’ – responsibility for loss or damages.
- ‘Malicious Software’ - any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other code or program designed to operate without the knowledge or consent, whether for malicious purposes or not.
- ‘Personal Data’ – any information from which an individual can be personally identified.
- ‘Prohibited Content’- any material in any format that is illegal, unlawful or otherwise objectionable including but not limited to threatening, harmful, harassing, abusive, malicious, tortious, defamatory, libellous, fraudulent, obscene, vulgar, racist, or related to child pornography, terrorism.
- ‘Registration form’ - the form filled in as part of the order process
- ‘White Label Service’ – services resold under your own brand or identity.
Masculine shall include feminine and singular shall include plural and vice-versa unless expressly stated otherwise.
Headings are for convenience only and shall not affect or interfere with the construction, intention or interpretation of the Agreement.
Any Act of Parliament referred to shall include any amendments to the Act.
